1. Purpose

These Terms and Conditions ("Agreement") govern the Company Profile Design Service provided by UAESA (Pty) Ltd ("UAESA") to the Client.

By requesting, purchasing, paying for, or authorising UAESA to provide the Company Profile Design Service, the Client agrees to be legally bound by these Terms and Conditions.

2. Service Description

UAESA provides professional company profile design services, which may include:

• Gathering and compiling company information provided by the Client.
• Structuring and organising content for the company profile.
• Professional layout and graphic design of the profile document.
• Incorporating client branding (logos, colours, fonts) where provided.
• Drafting and editing company overview, mission, vision, values, products/services, achievements, and team information.
• Providing up to two (2) rounds of revisions.
• Delivering the final company profile in PDF and editable format (e.g., Word or PowerPoint).

Only services specifically agreed between UAESA and the Client form part of this Agreement.

3. Client Responsibilities

The Client remains solely responsible for providing complete and accurate information, including but not limited to:

• Company registration documents.
• Company background and history.
• Director and management team details.
• Product and service descriptions.
• Mission, vision, and values statements.
• Key achievements and milestones.
• High-resolution logos and branding assets.
• Photographs and images (if required).
• Any other content required for the profile.

The Client warrants that all information supplied is lawful, accurate, and that they have the right to use any provided images or content.

4. Project Timeline

The Client shall provide all required content within five (5) business days of engagement.

UAESA will deliver the first draft within ten (10) business days of receiving complete information.

Late or incomplete information may result in delayed delivery.

UAESA shall not be liable for delays caused by the Client's failure to provide information on time.

5. Review and Approval

UAESA will provide a draft of the company profile for the Client's review.

The Client is responsible for reviewing the draft and providing feedback within five (5) business days.

Up to two (2) rounds of revisions are included. Additional revisions may be charged at the prevailing hourly rate.

Once the Client approves the final version, the project is considered complete.

6. Payment Terms

• A 50% deposit is required before work commences.
• The remaining 50% is due upon final approval and before delivery of the final files.
• Invoices are payable within seven (7) days of receipt.
• UAESA may suspend work where invoices remain unpaid.
• Final files will be withheld until full payment has been received.

7. Refund Policy

Fees are non-refundable once work has commenced.

No refund shall be payable where:

• The Client changes requirements after work has commenced.
• Incorrect or incomplete information was supplied by the Client.
• The Client terminates the service after work has commenced.

8. Confidentiality

UAESA shall keep all client and business information confidential and shall only disclose such information where:

• Required by law.
• Authorised by the Client.
• Required for the performance of the design service.

9. Protection of Personal Information (POPIA)

UAESA processes client information in accordance with the Protection of Personal Information Act, 2013 (Act No. 4 of 2013).

The Client authorises UAESA to collect, process, store, and use information solely for providing the Company Profile Design Service.

10. Intellectual Property

Upon full payment, the Client owns the final company profile design.

UAESA retains the right to use the design in its portfolio for marketing purposes, unless the Client requests otherwise in writing.

Any third-party content (images, fonts, etc.) provided by the Client remains their property. UAESA does not claim ownership of Client-provided content.

11. Limitation of Liability

To the maximum extent permitted by law, UAESA shall not be liable for:

• Delays caused by incorrect or incomplete information supplied by the Client.
• Financial losses arising from the use of the company profile.
• Indirect, incidental, or consequential damages.

UAESA's maximum liability shall not exceed the amount paid by the Client for the Company Profile Design Service.

12. Indemnity

The Client agrees to indemnify and hold harmless UAESA, its directors, employees, contractors, consultants, and agents against any claim, loss, liability, penalty, damage, or expense arising from:

• Incorrect information supplied by the Client.
• Unauthorised use of images or content provided by the Client.
• Failure to comply with applicable legislation.

13. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the Republic of South Africa.

Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the competent courts of South Africa.

14. Entire Agreement

These Terms and Conditions constitute the entire agreement between UAESA and the Client relating to the Company Profile Design Service and supersede all previous verbal or written communications.

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15. Client Acceptance

By engaging UAESA for the Company Profile Design Service, the Client acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions.

Electronic acceptance in accordance with clause 15 above is equally binding.
