1. Purpose

These Terms and Conditions ("Agreement") govern the Prestige Membership (Platinum) Service provided by UAESA (Pty) Ltd ("UAESA") to the Client.

By requesting, purchasing, paying for, or authorising UAESA to provide the Prestige Membership (Platinum) Service, the Client agrees to be legally bound by these Terms and Conditions.

2. Prestige Membership (Platinum) Benefits

UAESA offers an exclusive Prestige Membership (Platinum) Plan designed to provide exceptional value and comprehensive support for your business and financial goals.

Platinum Membership Benefits:

• 90% of Services at No Additional Cost: Members receive exclusive access to 90% of UAESA's comprehensive suite of services at no extra charge.
• Comprehensive Accounting Package: A fully comprehensive accounting package included free of charge.
• Premium Services: Access to a range of premium services thoughtfully designed to support your business and financial goals.
• Priority Support: Dedicated priority support for all your business needs.
• Exclusive Access: Early access to new services and features.

Excluded Services:

The following services are NOT included in the 90% free services and will be charged separately:

• NHBRC – National Home Builders Registration Council registrations.
• PSiRA – Private Security Industry Regulatory Authority registrations.
• FSCA – Financial Sector Conduct Authority registrations.
• NCR – National Credit Regulator registrations.

All other UAESA services are included at no additional cost under the Platinum Membership.

3. Included Services

The Prestige Membership (Platinum) includes the following services at no additional cost:

1. Company Profile Design: Professional design and layout of your company profile document.
2. Full Bookkeeping: Comprehensive monthly bookkeeping and record keeping.
3. Bank Reconciliation: Monthly bank reconciliation services.
4. VAT Calculations and Returns: Full VAT calculations and return preparation.
5. Payroll Processing: Monthly payroll processing for all employees.
6. PAYE, UIF, SDL Calculations: Full statutory calculations and submissions.
7. Management Accounts: Monthly management accounts and financial reports.
8. Cash Flow Monitoring: Cash flow monitoring and reporting.
9. Business Advisory: Business advisory support.
10. Tax Compliance Support: Tax compliance support and advice.
11. Import & Export License Services: Application and registration support.
12. Customs Compliance: Customs compliance and documentation.
13. SARS Customs Registration: Registration assistance.
14. International Trade Compliance: Trade compliance advice.
15. Tariff Classification: Tariff classification and customs duty calculations.
16. Permit Applications: Import and export permit applications.
17. Financial Statement Preparation: Draft financial statements.
18. Budget Preparation: Budget preparation and variance analysis.
19. EMP201 Preparation: EMP201 preparation and submission.
20. All other UAESA services not listed in the exclusions above.

Note: The 90% free services are provided as described above. The excluded services (NHBRC, PSiRA, FSCA, NCR) will be charged at standard rates.

4. Client Responsibilities

The Client remains solely responsible for providing complete and accurate information, including but not limited to:

• Company registration documents.
• Company background and history.
• Director and management team details.
• Product and service descriptions.
• Mission, vision, and values statements.
• Bank statements and transaction records.
• Sales and purchase invoices.
• Expense receipts and supporting documents.
• Employee payroll information.
• VAT documentation and tax records.
• High-resolution logos and branding assets.
• Any other information required for the services.

The Client warrants that all information supplied is lawful, accurate, and that they have the right to use any provided images or content.

5. Excluded Services & Pricing

The following services are excluded from the Platinum Membership and will be invoiced separately:

• NHBRC Registrations: National Home Builders Registration Council.
• PSiRA Registrations: Private Security Industry Regulatory Authority.
• FSCA Registrations: Financial Sector Conduct Authority.
• NCR Registrations: National Credit Regulator.

Quotes for excluded services will be provided upon request.

6. Payment Terms

• Prestige Membership (Platinum) fees are payable monthly in advance.
• All included services (90% of UAESA services) are included in the membership fee.
• Excluded services (NHBRC, PSiRA, FSCA, NCR) will be invoiced separately.
• Invoices are payable within seven (7) days of receipt.
• UAESA may suspend services where invoices remain unpaid.
• Reports, documents, or applications may be withheld until outstanding amounts have been settled.

7. Refund Policy

Membership fees are non-refundable once services have commenced.

No refund shall be payable where:

• The Client changes requirements after work has commenced.
• Incorrect or incomplete information was supplied by the Client.
• The Client terminates the membership after services have commenced.

8. Confidentiality

UAESA shall keep all client and business information confidential and shall only disclose such information where:

• Required by law.
• Authorised by the Client.
• Required for the performance of services.

9. Protection of Personal Information (POPIA)

UAESA processes client and employee information in accordance with the Protection of Personal Information Act, 2013 (Act No. 4 of 2013).

The Client authorises UAESA to collect, process, store, and use information solely for providing the Prestige Membership (Platinum) services.

10. Intellectual Property

Any designs, documents, or content created by UAESA for the Client remain the property of UAESA until full payment has been received.

Upon full payment, the Client owns the final deliverables.

UAESA retains the right to use completed designs in its portfolio for marketing purposes, unless the Client requests otherwise in writing.

11. Limitation of Liability

To the maximum extent permitted by law, UAESA shall not be liable for:

• Delays caused by incorrect or incomplete information supplied by the Client.
• Regulatory authority decisions or rejections.
• Financial losses arising from delays or rejections.
• Penalties or interest resulting from incorrect information supplied by the Client.
• Indirect, incidental, or consequential damages.

UAESA's maximum liability shall not exceed the amount paid by the Client for the affected service.

12. Indemnity

The Client agrees to indemnify and hold harmless UAESA, its directors, employees, contractors, consultants, and agents against any claim, loss, liability, penalty, damage, or expense arising from:

• Incorrect information supplied by the Client.
• Incomplete or missing documentation.
• Failure to comply with applicable legislation.
• Failure to provide information on time.
• Any penalties, fines, or duties imposed by any authority.
• Unauthorised use of images or content provided by the Client.

13. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the Republic of South Africa.

Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the competent courts of South Africa.

14. Entire Agreement

These Terms and Conditions constitute the entire agreement between UAESA and the Client relating to the Prestige Membership (Platinum) and supersede all previous verbal or written communications.

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15. Client Acceptance

By subscribing to the Prestige Membership (Platinum), the Client acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions.
