1. Purpose

These Terms and Conditions ("Agreement") govern the Financial Year End Change Service provided by UAESA (Pty) Ltd ("UAESA") to the Client.

By requesting, purchasing, or authorising UAESA to provide the Financial Year End Change Service, the Client agrees to be legally bound by these Terms and Conditions.

2. Service Description

UAESA provides professional Financial Year End Change services, which may include:

• Assessment and analysis of the current financial year end.
• Advising on the optimal new financial year end date for your business.
• Preparation and submission of the application to change the financial year end.
• Liaising with the Companies and Intellectual Property Commission (CIPC) on your behalf.
• Completing and submitting all required forms and documentation.
• Filing the necessary resolutions and notices.
• Updating company records to reflect the new financial year end.
• Advising on tax implications of the change.
• Ensuring compliance with the Companies Act and relevant regulations.
• Providing support and guidance throughout the process.
• Confirmation of the change once approved by CIPC.

Only services specifically agreed between UAESA and the Client form part of this Agreement.

3. Client Responsibilities

The Client remains solely responsible for providing complete and accurate information, including but not limited to:

• Company registration documents.
• Current financial year end information.
• Proposed new financial year end date.
• Directors' resolution approving the change.
• Shareholder information and resolutions (if required).
• Any other information required for the application.

The Client warrants that all information supplied is lawful, accurate, and complete.

The Client must ensure that the directors' resolution is properly passed and documented before the application is submitted.

4. Timeline

The Client shall provide all required information within five (5) business days of engagement.

UAESA will prepare and submit the application within seven (7) business days of receiving complete information.

Processing times by CIPC may vary and are beyond UAESA's control.

Late or incomplete information may result in delayed submission and processing.

UAESA shall not be liable for delays caused by the Client's failure to provide information on time or by CIPC processing times.

5. Payment Terms

No upfront payment or deposit is required.

Payment is only made upon completion of the requested services.

• Invoicing will occur only after the financial year end change has been successfully processed and confirmed by CIPC.
• Invoices are payable within seven (7) days of receipt.
• Payment methods: EFT / Bank Transfer.
• UAESA reserves the right to suspend any future services where invoices remain unpaid.

6. Refund Policy

As no deposit is required, refunds are only applicable if:

• UAESA is unable to complete the service due to reasons within its control.
• The Client cancels the service before any work has commenced.

No refund shall be payable where:

• The application is rejected by CIPC due to incorrect information supplied by the Client.
• The Client changes requirements after work has commenced.
• The Client terminates the service after work has commenced.

7. Confidentiality

UAESA shall keep all client and business information confidential and shall only disclose such information where:

• Required by law.
• Authorised by the Client.
• Required for the performance of services.

8. Protection of Personal Information (POPIA)

UAESA processes client and employee information in accordance with the Protection of Personal Information Act, 2013 (Act No. 4 of 2013).

The Client authorises UAESA to collect, process, store, and use information solely for providing the Financial Year End Change Service.

9. Limitation of Liability

To the maximum extent permitted by law, UAESA shall not be liable for:

• Delays caused by incorrect or incomplete information supplied by the Client.
• CIPC processing delays or rejections.
• Financial losses arising from the change of financial year end.
• Tax implications arising from the change (the Client is advised to consult with a tax specialist).
• Indirect, incidental, or consequential damages.

UAESA's maximum liability shall not exceed the amount paid by the Client for the Financial Year End Change Service.

10. Indemnity

The Client agrees to indemnify and hold harmless UAESA, its directors, employees, contractors, consultants, and agents against any claim, loss, liability, penalty, damage, or expense arising from:

• Incorrect information supplied by the Client.
• Incomplete or missing documentation.
• Failure to comply with the Companies Act or other applicable legislation.
• Failure to provide information on time.
• Any penalties, fines, or duties imposed by any authority as a result of the Client's failure to comply with regulations.

11. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the Republic of South Africa.

Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the competent courts of South Africa.

12. Entire Agreement

These Terms and Conditions constitute the entire agreement between UAESA and the Client relating to the Financial Year End Change Service and supersede all previous verbal or written communications.

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13. Client Acceptance

By engaging UAESA for the Financial Year End Change Service, the Client acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions.

Electronic acceptance in accordance with clause 13 above is equally binding.
