1. Introduction

These Terms and Conditions ("Agreement") govern the provision of the CIPC Company Name Change Service by UAESA (Pty) Ltd ("UAESA") to the Client. By requesting, paying for, or authorising UAESA to perform the Company Name Change Service, the Client acknowledges that they have read, understood, and agree to be legally bound by these Terms and Conditions.

2. Service Description

2.1 UAESA provides professional administrative and consultancy services relating to Company Name Change applications submitted to the Companies and Intellectual Property Commission ("CIPC").

2.2 UAESA acts solely as an authorised intermediary and service provider.

2.3 UAESA does not have authority to approve, reject, reserve, or influence any decision made by the CIPC.

3. Client Information

The Client confirms that the following information is accurate:

• Enterprise Registration Number: @{Enterprise Reg No.:18}
• Current Enterprise Name: @{Enterprise Name:20}
• Primary Proposed Company Name: @{Enterprise Name Change to:17}
• Alternative Proposed Company Name: @{Enterprise Name Change to Name:5}

The Client confirms that all information supplied to UAESA is true, complete, and accurate.

4. Client Responsibilities

The Client is solely responsible for: selecting the proposed company names; ensuring the spelling, punctuation, wording, abbreviations, and formatting of all proposed names are correct; ensuring that all information supplied to UAESA is accurate and complete; providing all documentation required by the CIPC; and reviewing the application before authorising submission.

UAESA will prepare and submit the application exactly as instructed by the Client. UAESA is not responsible for verifying, correcting, or interpreting any information supplied by the Client unless expressly instructed in writing before submission.

5. Authorisation to Submit

The Client authorises UAESA to submit the Company Name Change application using the following names:

Primary Proposed Name: @{Enterprise Name Change to:17}

If the primary proposed name is rejected, unavailable, reserved, or otherwise declined by the CIPC, the Client authorises UAESA to immediately submit the following alternative name without obtaining further approval:

Alternative Proposed Name: @{Enterprise Name Change to Name:5}

If both proposed names are rejected, UAESA will notify the Client before any further name reservation or application is submitted.

6. CIPC Approval

The Client acknowledges that: approval of company names is solely determined by the CIPC; UAESA has no control over CIPC decisions; UAESA does not guarantee that either proposed company name will be approved; and CIPC may reject names that conflict with the Companies Act, registered company names, registered trademarks, public interest, or any other legal requirement.

7. Client Errors

The Client accepts full responsibility for all information supplied to UAESA. UAESA shall not be liable for: incorrect company names; incorrect spelling; typographical errors; incorrect registration numbers; incorrect enterprise details; incorrect supporting documentation; or incorrect instructions supplied by the Client. Any additional work resulting from incorrect information supplied by the Client shall be charged separately.

8. Liability

To the fullest extent permitted by law, UAESA shall not be liable for: rejection of company names; delays caused by the CIPC; government system failures; technical interruptions; internet outages; third-party service failures; business interruption; financial loss; loss of profits; loss of contracts; or consequential or indirect damages. UAESA's total liability shall never exceed the amount paid by the Client for the specific Company Name Change Service.

9. Corrections and Resubmissions

If corrections, amendments, withdrawals, or resubmissions become necessary because of incorrect information supplied by the Client: additional UAESA administration fees may apply; additional CIPC fees may apply; and payment must be made before further work commences.

10. Payment Terms

All service fees are payable in advance. UAESA reserves the right not to commence work until payment has been received in full. Government fees paid to the CIPC are non-refundable once submitted. UAESA service fees are non-refundable once work has commenced.

11. Refunds

No refund shall be payable where: the Client changes their mind; the proposed company name is rejected; incorrect information was supplied by the Client; the Client withdraws the instruction after work has commenced; or the Client fails to provide required documentation. Refunds, where applicable, shall be processed in accordance with UAESA's Refund Policy and applicable South African law.

12. Processing Times

All processing times communicated by UAESA are estimates only. UAESA shall not be responsible for delays caused by: the CIPC; government departments; public holidays; technical failures; scheduled maintenance; system outages; high application volumes; or force majeure events.

13. Proof of Submission

Upon request, UAESA may provide evidence that the application was submitted according to the Client's instructions. Proof of submission does not constitute approval by the CIPC.

14. Personal Information (POPIA)

UAESA processes personal and company information in accordance with the Protection of Personal Information Act, 2013 (Act No. 4 of 2013). The Client consents to UAESA collecting, processing, storing, and submitting the information necessary to perform the Company Name Change Service.

15. Indemnity

The Client agrees to indemnify, defend, and hold harmless UAESA, its directors, employees, contractors, and agents from and against any claims, losses, damages, liabilities, costs, or expenses arising from: incorrect information supplied by the Client; false declarations; incorrect company names; incorrect documentation; instructions provided by the Client; or any legal dispute arising from the proposed company name.

16. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the Republic of South Africa. Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the competent courts of South Africa.

17. Entire Agreement

These Terms and Conditions constitute the complete agreement between UAESA and the Client regarding the Company Name Change Service and supersede all prior verbal or written communications relating to the service. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18. Client Acceptance

The Client confirms and warrants that: all information supplied to UAESA is true, complete, and accurate; the Client has reviewed and approved the details of the Company Name Change application before submission; the Client has personally selected and approved the primary proposed company name @{Enterprise Name Change to:17}; the Client has personally selected and approved the alternative proposed company name @{Enterprise Name Change to Name:5}; the Client authorises UAESA to submit the application to the CIPC using the information provided; if the primary proposed company name is rejected, unavailable, or otherwise not approved by the CIPC, the Client authorises UAESA to submit the alternative proposed company name @{Enterprise Name Change to Name:5} without requiring further approval; the Client acknowledges that approval or rejection of any proposed company name rests solely with the CIPC; the Client accepts full responsibility for the accuracy of all information and documentation provided to UAESA; and the Client agrees to indemnify and hold UAESA harmless against any claim, loss, damage, liability, cost, or expense arising from incorrect, incomplete, or misleading information supplied by the Client.

19. Electronic Acceptance

This Agreement becomes legally binding immediately when the Client performs any one or more of the following actions: submits an application through UAESA's website, CRM, client portal, mobile application, or online platform; clicks "Accept", "Agree", "Submit", "Continue", or any similar electronic confirmation; makes payment for the Company Name Change Service; sends written instructions by email, WhatsApp, SMS, or any other electronic communication authorising UAESA to proceed; provides verbal authorisation that is recorded by UAESA; or allows UAESA to commence work based on the Client's instructions.

The Client agrees that these actions constitute valid electronic acceptance of this Agreement and shall have the same legal force and effect as a handwritten signature in accordance with the Electronic Communications and Transactions Act, 2002 (Act No. 25 of 2002) and all other applicable laws of the Republic of South Africa.

No physical or electronic signature is required for this Agreement to be valid, enforceable, and legally binding.
