1. Purpose

These Terms and Conditions ("Agreement") govern the Company Reinstatement Service provided by UAESA (Pty) Ltd ("UAESA") to the Client.

By requesting, purchasing, paying for, or authorising UAESA to provide the Company Reinstatement Service, the Client agrees to be legally bound by these Terms and Conditions.

2. Service Description

UAESA provides professional company reinstatement services, which may include:

• Assessment of the company's status and deregistration history.
• Filing and submission of all outstanding annual returns to the Companies and Intellectual Property Commission (CIPC).
• Filing and submission of all outstanding Beneficial Ownership (BO) returns.
• Preparation and submission of the reinstatement application to CIPC.
• Liaising with CIPC on the Client's behalf throughout the process.
• Advising on outstanding fees and penalties payable to CIPC.
• Providing guidance on the reinstatement process and requirements.
• Tracking the application status and providing regular updates.
• Confirmation of reinstatement once approved by CIPC.
• Advising on post-reinstatement compliance obligations.

Only services specifically agreed between UAESA and the Client form part of this Agreement.

3. Important Notice – No Guarantee of Approval

Please note that there is no guarantee that the reinstatement application will be approved by CIPC.

Approval is at the sole discretion of CIPC and depends on various factors, including but not limited to:

• Compliance with all outstanding filing requirements.
• Payment of all outstanding fees, penalties, and tariffs.
• The company's compliance history with CIPC.
• Any objections from third parties.

UAESA will use its best endeavours to ensure the application is complete and accurate, but we cannot guarantee the outcome.

4. Client Responsibilities

The Client remains solely responsible for providing complete and accurate information, including but not limited to:

• Company registration documents (CK, CO, or COR).
• Directors' and shareholders' ID documents.
• Updated company details (address, contact information, etc.).
• Confirmation of all outstanding annual returns and BO returns.
• Any correspondence from CIPC regarding deregistration.
• Payment of all outstanding CIPC fees, penalties, and tariffs.
• Any other information required for the reinstatement application.

The Client warrants that all information supplied is lawful, accurate, and complete.

The Client acknowledges that all outstanding annual returns must be filed according to all due and outstanding returns, and all due payments must be paid up after the restoration of the company.

5. CIPC Tariffs and Fees

Please note the following regarding CIPC tariffs:

• There is an additional R200 non-refundable CIPC tariff cost for the reinstatement application.
• All CIPC tariffs and fees are non-refundable.
• UAESA's service fee is separate from CIPC tariffs and fees.
• The Client is responsible for payment of all CIPC fees, penalties, and tariffs.

UAESA will provide an estimate of all CIPC fees and tariffs before the application is submitted. The Client acknowledges that these fees are subject to change and the actual fees will be as prescribed by CIPC at the time of submission.

6. Service Timeline

The Client shall provide all required information within five (5) business days of engagement.

UAESA will file all outstanding annual returns and BO returns within seven (7) business days of receiving complete information.

The reinstatement application will be submitted as soon as all filings are complete and all CIPC fees are paid.

Processing times by CIPC may vary and are beyond UAESA's control.

UAESA shall not be liable for delays caused by the Client's failure to provide information on time or by CIPC processing times.

7. Payment Terms

Payment is required upfront and is non-refundable.

• Full payment of UAESA's service fee is required before any work commences.
• An estimate of CIPC tariffs and fees will be provided.
• Payment of CIPC tariffs and fees is required before the application is submitted.
• Payment methods: EFT / Bank Transfer.
• Invoices are payable immediately upon receipt.

Please note:

• Service fees are non-refundable once work has commenced.
• CIPC tariffs and fees are non-refundable.
• There is no guarantee of approval, and no refunds will be issued if the application is rejected by CIPC.

8. Refund Policy

No refunds will be issued.

No refund shall be payable where:

• The Client provides incorrect or incomplete information.
• The Client changes requirements after work has commenced.
• The Client terminates the service after work has commenced.
• The reinstatement application is rejected by CIPC.
• CIPC processing is delayed.

The Client acknowledges that all payments are made at their own risk and that approval is not guaranteed.

9. Confidentiality

UAESA shall keep all client and company information confidential and shall only disclose such information where:

• Required by law.
• Authorised by the Client.
• Required for the performance of services.

10. Protection of Personal Information (POPIA)

UAESA processes client and director information in accordance with the Protection of Personal Information Act, 2013 (Act No. 4 of 2013).

The Client authorises UAESA to collect, process, store, and use information solely for providing the Company Reinstatement Service.

11. Limitation of Liability

To the maximum extent permitted by law, UAESA shall not be liable for:

• Incorrect or incomplete information supplied by the Client.
• Rejection of the reinstatement application by CIPC.
• Delays or errors caused by CIPC systems or processes.
• Any penalties, fees, or losses arising from the company's deregistration or reinstatement.
• Financial losses arising from delays or rejection.
• Indirect, incidental, or consequential damages.

UAESA's maximum liability shall not exceed the amount paid by the Client for the Company Reinstatement Service.

12. Indemnity

The Client agrees to indemnify and hold harmless UAESA, its directors, employees, contractors, consultants, and agents against any claim, loss, liability, penalty, damage, or expense arising from:

• Incorrect information supplied by the Client.
• Incomplete or missing documentation.
• Failure to comply with the Companies Act or other applicable legislation.
• Failure to provide information on time.
• Any penalties, fines, or fees imposed by CIPC.

13. Post-Reinstatement Obligations

The Client acknowledges and agrees that after reinstatement:

• All outstanding annual returns have been filed.
• All due payments and fees have been paid up.
• The Client remains responsible for all future annual returns and compliance obligations.
• The Client must maintain compliance with CIPC and other regulatory requirements going forward.

14. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the Republic of South Africa.

Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the competent courts of South Africa.

15. Entire Agreement

These Terms and Conditions constitute the entire agreement between UAESA and the Client relating to the Company Reinstatement Service and supersede all previous verbal or written communications.

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16. Client Acceptance

By engaging UAESA for the Company Reinstatement Service, the Client acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions.

The Client acknowledges and accepts that:

• There is an additional R200 non-refundable CIPC tariff cost.
• All payments are upfront and non-refundable.
• There is no guarantee of approval by CIPC.
• All annual returns and BO returns will be filed and submitted.
• All outstanding returns and payments must be settled after restoration.
