1. Purpose

These Terms and Conditions ("Agreement") govern the Standard Membership (Bronze) Service provided by UAESA (Pty) Ltd ("UAESA") to the Client.

By requesting, purchasing, paying for, or authorising UAESA to provide the Standard Membership (Bronze) Service, the Client agrees to be legally bound by these Terms and Conditions.

2. Standard Membership (Bronze) Benefits

UAESA offers a Standard Membership (Bronze) Plan designed to provide essential business support and value.

Bronze Membership Benefits:

• 14 Exclusive Services – 100% Free: Access to 14 premium business services at no cost for members.
• Comprehensive Accounting Package: A fully comprehensive accounting package included free of charge.
• Valuable Services: A range of other valuable services designed to support your business and financial needs.
• Standard Support: Standard support for all your business needs.

This membership provides essential value and support for your business needs.

3. The 14 Free Services

The Standard Membership (Bronze) includes the following 14 services at no cost:

1. Company Profile Design: Professional design and layout of your company profile document.
2. Basic Bookkeeping: Monthly bookkeeping and record keeping.
3. Bank Reconciliation: Monthly bank reconciliation services.
4. VAT Calculation: VAT calculations and return preparation.
5. Payroll Processing: Monthly payroll processing for up to 10 employees.
6. PAYE, UIF, SDL Calculations: Statutory calculations and submissions.
7. Management Accounts: Monthly management accounts and financial reports.
8. Cash Flow Monitoring: Cash flow monitoring and reporting.
9. Business Advisory: Basic business advisory support.
10. Tax Compliance Support: Tax compliance support and advice.
11. Income and Expense Tracking: Monthly income and expense tracking.
12. General Ledger Maintenance: General ledger maintenance and management.
13. Accounts Payable Management: Accounts payable management and processing.
14. Accounts Receivable Management: Accounts receivable management and processing.

Note: The 14 free services are provided as described above. Any additional services or exceeding of limits may be charged at standard rates.

4. Client Responsibilities

The Client remains solely responsible for providing complete and accurate information, including but not limited to:

• Company registration documents.
• Company background and history.
• Director and management team details.
• Product and service descriptions.
• Mission, vision, and values statements.
• Bank statements and transaction records.
• Sales and purchase invoices.
• Expense receipts and supporting documents.
• Employee payroll information.
• VAT documentation and tax records.
• High-resolution logos and branding assets.
• Any other information required for the services.

The Client warrants that all information supplied is lawful, accurate, and that they have the right to use any provided images or content.

5. Additional Services

Additional services not included in the 14 free services may be provided at standard UAESA rates.

Additional services may include:

• Import and export license applications.
• Customs compliance and documentation.
• SARS customs registration.
• International trade compliance advice.
• Tariff classification and customs duty calculations.
• Advanced accounting and financial reporting.
• Budget preparation and variance analysis.
• Financial statement preparation.
• Audit support and preparation.
• Comprehensive payroll services for more than 10 employees.
• EMP201 preparation and submission.
• Any other services not listed in the 14 free services.

Quotes for additional services will be provided upon request.

6. Payment Terms

• Standard Membership (Bronze) fees are payable monthly in advance.
• The 14 free services are included in the membership fee.
• Additional services will be invoiced separately at standard rates.
• Invoices are payable within seven (7) days of receipt.
• UAESA may suspend services where invoices remain unpaid.
• Reports, documents, or applications may be withheld until outstanding amounts have been settled.

7. Refund Policy

Membership fees are non-refundable once services have commenced.

No refund shall be payable where:

• The Client changes requirements after work has commenced.
• Incorrect or incomplete information was supplied by the Client.
• The Client terminates the membership after services have commenced.

8. Confidentiality

UAESA shall keep all client and business information confidential and shall only disclose such information where:

• Required by law.
• Authorised by the Client.
• Required for the performance of services.

9. Protection of Personal Information (POPIA)

UAESA processes client and employee information in accordance with the Protection of Personal Information Act, 2013 (Act No. 4 of 2013).

The Client authorises UAESA to collect, process, store, and use information solely for providing the Standard Membership (Bronze) services.

10. Intellectual Property

Any designs, documents, or content created by UAESA for the Client remain the property of UAESA until full payment has been received.

Upon full payment, the Client owns the final deliverables.

UAESA retains the right to use completed designs in its portfolio for marketing purposes, unless the Client requests otherwise in writing.

11. Limitation of Liability

To the maximum extent permitted by law, UAESA shall not be liable for:

• Delays caused by incorrect or incomplete information supplied by the Client.
• Regulatory authority decisions or rejections.
• Financial losses arising from delays or rejections.
• Penalties or interest resulting from incorrect information supplied by the Client.
• Indirect, incidental, or consequential damages.

UAESA's maximum liability shall not exceed the amount paid by the Client for the affected service.

12. Indemnity

The Client agrees to indemnify and hold harmless UAESA, its directors, employees, contractors, consultants, and agents against any claim, loss, liability, penalty, damage, or expense arising from:

• Incorrect information supplied by the Client.
• Incomplete or missing documentation.
• Failure to comply with applicable legislation.
• Failure to provide information on time.
• Any penalties, fines, or duties imposed by any authority.
• Unauthorised use of images or content provided by the Client.

13. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the Republic of South Africa.

Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the competent courts of South Africa.

14. Entire Agreement

These Terms and Conditions constitute the entire agreement between UAESA and the Client relating to the Standard Membership (Bronze) and supersede all previous verbal or written communications.

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15. Client Acceptance

By subscribing to the Standard Membership (Bronze), the Client acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions.
