1. PURPOSE

These Terms and Conditions ("Agreement") govern the Import & Export License Service provided by UAESA (Pty) Ltd ("UAESA") to the Client.

By requesting, purchasing, paying for, or authorising UAESA to provide the Import & Export License Service, the Client agrees to be legally bound by these Terms and Conditions.

2. SERVICE

UAESA provides professional import and export licensing services, which may include:

• Import and export license application and registration.
• Customs compliance and documentation.
• South African Revenue Service (SARS) customs registration.
• International trade compliance advice.
• Tariff classification and customs duty calculations.
• Import and export permit applications.
• Letter of credit and trade finance documentation support.
• Customs clearing and forwarding documentation.
• Regulatory compliance with the International Trade Administration Commission (ITAC).
• Sanctions and restricted goods compliance checks.
• Record keeping and audit support.
• License renewal and maintenance services.

Only services specifically agreed between UAESA and the Client form part of this Agreement.

3. CLIENT DECLARATION

The Client confirms that:

• The Enterprise Registration Number @{Enterprise Reg No.:18} is correct.
• The Enterprise Name @{Enterprise Name:20} is correct.
• The Director @{Director Name:26} @{Director Surname:27} is authorised to appoint UAESA.
• All information supplied for the import and export license application is true, accurate, complete, and current.
• The Client is legally authorised to instruct UAESA to perform import and export licensing services on behalf of the enterprise.

4. CLIENT RESPONSIBILITIES

The Client remains solely responsible for providing complete and accurate information, including but not limited to:

• Company registration documents.
• Director and shareholder information.
• Product and commodity details for import/export.
• Supplier and buyer information.
• Customs tariff codes and product classifications.
• Invoices and shipping documentation.
• Permits and certificates required for specific goods.
• Any other information required for the license application or compliance process.

The Client warrants that all information supplied is lawful and accurate.

5. APPLICATION TIMEFRAME

The Client shall provide all required information within the agreed timeframe of 21 Days.

Late or incomplete information may result in:

• Delayed license application processing.
• Delayed customs clearance.
• Additional administration charges.

UAESA shall not be liable for delays caused by information received after the agreed cut-off or by delays from regulatory authorities such as SARS or ITAC.

6. REVIEW AND APPROVAL

UAESA may provide draft applications or documentation for review before final submission.

The Client is responsible for reviewing all documents and approving them before they are submitted to any authority.

Once documents have been approved, the Client accepts responsibility for the accuracy of the information unless the error was directly caused by UAESA.

7. REGULATORY COMPLIANCE

All applications and documentation are prepared based on the information supplied by the Client and applicable South African legislation, including but not limited to:

• Customs and Excise Act, 1964.
• International Trade Administration Act, 2002.
• SARS customs regulations.
• ITAC regulations and directives.

Unless otherwise agreed in writing, the Client remains responsible for ensuring all regulatory requirements are met and that all submissions to authorities are made on time.

8. SUBMISSIONS AND PAYMENTS

Unless specifically agreed in writing, UAESA does not make payments on behalf of the Client to SARS, ITAC, or any other authority.

The Client remains solely responsible for:

• Paying all license fees, customs duties, taxes, and other government charges.
• Ensuring sufficient funds are available for all obligations.
• Authorising all submissions and applications.

9. CLIENT ERRORS

UAESA shall not be liable for errors resulting from:

• Incorrect or incomplete information supplied by the Client.
• Missing documentation.
• Incorrect product classifications.
• Unreported transactions or goods.
• Late submission of information.
• Incorrect customs declarations.

Any corrections required due to Client errors may attract additional administration fees.

10. PAYMENT TERMS

• Service fees are payable in advance unless otherwise agreed.
• UAESA may suspend services where invoices remain unpaid.
• Documentation, applications, or licenses may be withheld until outstanding amounts have been settled.
• Interest may be charged on overdue accounts where permitted by law.

11. REFUND POLICY

Service fees are non-refundable once work has commenced.

No refund shall be payable where:

• The Client changes instructions after work has commenced.
• Incorrect or incomplete information was supplied by the Client.
• The Client terminates the service after work has commenced.
• An application is delayed or rejected by a regulatory authority due to reasons beyond UAESA's control.

12. PROCESSING TIMES

License processing depends on receiving complete information and on the processing times of regulatory authorities such as SARS and ITAC.

UAESA shall not be responsible for delays caused by:

• Late Client submissions.
• Regulatory authority processing delays.
• Government system failures.
• Technical failures.
• Public holidays.
• Force majeure.
• Circumstances beyond UAESA's reasonable control.

13. CONFIDENTIALITY

UAESA shall keep all client and business information confidential and shall only disclose such information where:

• Required by law.
• Authorised by the Client.
• Required for the performance of import and export licensing services.

14. PROTECTION OF PERSONAL INFORMATION (POPIA)

UAESA processes client and employee information in accordance with the Protection of Personal Information Act, 2013 (Act No. 4 of 2013).

The Client authorises UAESA to collect, process, store, and use information solely for providing the Import & Export License Service.

15. LIMITATION OF LIABILITY

To the maximum extent permitted by law, UAESA shall not be liable for:

• Delays in license processing or issuance.
• Incorrect information supplied by the Client.
• Regulatory authority decisions or rejections.
• Financial losses arising from delays or rejections.
• Disputes arising from Client information.
• Penalties or interest resulting from incorrect information supplied by the Client.
• Indirect, incidental, or consequential damages.

UAESA's maximum liability shall not exceed the amount paid by the Client for the affected Import & Export License Service.

16. INDEMNITY

The Client agrees to indemnify and hold harmless UAESA, its directors, employees, contractors, consultants, and agents against any claim, loss, liability, penalty, damage, or expense arising from:

• Incorrect information supplied by the Client.
• Incomplete or missing documentation.
• Failure to comply with import/export legislation.
• Failure to provide information on time.
• Any penalties, fines, or duties imposed by SARS, ITAC, or any other authority.

17. GOVERNING LAW

This Agreement shall be governed by and interpreted in accordance with the laws of the Republic of South Africa.

Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the competent courts of South Africa.

18. ENTIRE AGREEMENT

These Terms and Conditions constitute the entire agreement between UAESA and the Client relating to the Import & Export License Service and supersede all previous verbal or written communications.

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

19. CLIENT ACCEPTANCE

The Client confirms that:

• All information supplied is true, complete, and accurate.
• The Client has reviewed all information before submission.
• The Client authorises UAESA to perform import and export licensing services using the information provided.
• The Client accepts full responsibility for the accuracy of all information supplied.
• The Client understands that license processing depends entirely on the information supplied by the Client.
• The Client agrees to indemnify UAESA against any claim or loss arising from incorrect information supplied by the Client.

20. ELECTRONIC ACCEPTANCE

This Agreement becomes legally binding immediately when the Client:

• Submits information through UAESA's website, CRM, client portal, or online platform.
• Clicks "Accept", "Agree", "Submit", or any similar electronic confirmation.
• Makes payment for the Import & Export License Service.
• Sends instructions by email, WhatsApp, SMS, or another electronic communication.
• Provides recorded verbal authorisation.
• Allows UAESA to commence import and export licensing services.

These actions constitute valid electronic acceptance and have the same legal force and effect as a handwritten signature in accordance with the Electronic Communications and Transactions Act, 2002 (Act No. 25 of 2002), and all applicable laws of the Republic of South Africa.

No physical or electronic signature is required for this Agreement to be valid, binding, and enforceable.

CLIENT ACCEPTANCE

By proceeding with the Import & Export License Service, the Client acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions.
