Sales Terms and Conditions
Effective Date: Sunday, 13 March 2011
These Sales Terms and Conditions (“Terms”) govern the relationship between UAESA Proprietary Limited, a private company duly incorporated in the Republic of South Africa under registration number 2011/144689/07 (“UAESA,” “we,” “us,” or “our”), and the client (“you” or the “Client”) in respect of all services rendered by UAESA. Our core offerings include, without limitation, registrations and returns with the Companies and Intellectual Property Commission (CIPC), the Unemployment Insurance Fund (UIF), and the South African Revenue Service (SARS), as well as associated compliance services.
By engaging our services, you confirm that you have read, understood, and agreed to be bound by these Terms.
2.1. UAESA offers professional business administration and compliance facilitation services, including but not limited to:
- Company and business registrations with CIPC;
- UIF registration and filing of relevant returns;
- SARS registration for income tax, VAT, PAYE, and related submissions;
- Assistance with registrations for CIDB, NHBRC, and NCR;
- Other ancillary services required for regulatory compliance.
2.2. A service shall be deemed completed when:
- All required documentation has been correctly submitted;
- All necessary payments to the relevant regulatory authorities have been processed;
- Confirmation or acknowledgment of submission or registration has been issued by the applicable authority.
3.1. Payment in full for services rendered is due immediately upon issuance of the final invoice, unless otherwise stipulated in writing.
3.2. Failure to remit payment as required may result in:
- Legal action to recover the outstanding debt;
- Suspension of further service provision;
- Listing of your details with a registered South African Credit Bureau;
- Reclassification of your entity as a shelf company, with associated disposal rights reserved by UAESA.
- 4.1. The Client shall provide complete, accurate, and truthful information necessary to carry out the requested services.
- 4.2. The Client is responsible for responding promptly to any request for further documentation, clarification, or confirmation.
- 4.3. UAESA shall not be held liable for delays or regulatory non-compliance resulting from:
- Inaccurate or incomplete client-provided information;
- Delays in client responses;
- Client’s failure to make timely payments or provide required documents.
- 4.3. UAESA shall not be held liable for delays or failures resulting from incorrect, incomplete, or late information provided by the Client.
- 5.1. Refunds shall only be considered where UAESA fails to deliver the agreed-upon service due to its own fault or negligence.
- 5.2. Refund requests must be submitted in writing within 7 (seven) calendar days of the initial payment date.
- 5.3. Services that have been partially or fully rendered are not eligible for a refund.
- 5.4. Processing fees, third-party charges, and statutory payments are non-refundable under any circumstance.
- 6.1. UAESA undertakes to treat all information received from the Client as confidential and to protect such information using appropriate security measures.
- 6.2. Client information shall not be disclosed to any third party without the Client’s prior written consent, except where required by law or regulation.
- 7.1. UAESA shall not be held liable for any loss, damage, or claim arising from reliance on incorrect or misleading information provided by the Client.
- 7.2. UAESA shall not be responsible for delays caused by third-party agencies, regulatory bodies, or unforeseen circumstances beyond its control.
- 8.1. Either party may terminate the service agreement with 7 (seven) days’ written notice, subject to any outstanding obligations being fulfilled.
- 8.2. Termination shall not entitle the Client to a refund of any payments already made, except as provided in clause 5 above.
- 9.1. These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa.
- 9.2. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa.
